HemRid Featured Customer Program: Official Terms and Release

These Terms and Release ("Terms") form a binding agreement between you ("you" or "Participant") and Growth Marketing Media LLC, doing business as HemRid, together with its parents, subsidiaries, affiliates, successors, assigns, licensees, and agents ("HemRid," "we," or "us"). By submitting a video to the HemRid Featured Customer Program (the "Program"), you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not submit a video.

PLEASE READ SECTION 15 CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

1. Definitions

  • "Submission" means any video, audio, image, text, or other material you send to HemRid through the Program, including all copies, excerpts, and edits.
  • "Likeness" means your name (first name only unless you agree otherwise in writing), image, face, voice, statements, biographical information you provide, and any other identifying characteristics that appear in or are associated with your Submission.
  • "Selected Participant" means a Participant whose Submission HemRid chooses, in writing, to feature.

2. Eligibility

To participate, you must, at the time of Submission:

  • be at least 18 years old and a legal resident of the 50 United States or the District of Columbia;
  • have placed a verified order for a HemRid product on hemrid.com that HemRid can confirm in its records;
  • have personally used the HemRid product shown in your Submission; and
  • not be an employee, officer, director, contractor, agent, or immediate family or household member of any of them, of HemRid or any agency working on HemRid's behalf.

HemRid may verify eligibility at any time and may disqualify any Participant who does not meet these requirements. Void where prohibited or restricted by law.

3. Submission Requirements

Each Submission must:

  • be at least 30 seconds long;
  • clearly show the HemRid product;
  • feature you, on camera, describing your own genuine experience with the product;
  • be original, created solely by you, and not previously published or submitted to any other brand;
  • not include any other person, unless you provide a signed release from that person in a form acceptable to HemRid;
  • not include third-party brands, logos, trademarks, copyrighted music, artwork, or other material you do not own;
  • not state or imply that HemRid cures, heals, treats, or prevents any disease or condition, or make any other medical or health claim; and
  • not contain anything false, misleading, defamatory, obscene, offensive, or unlawful.

Limit: one (1) Submission per person and per household. Submissions that are incomplete, late, corrupted, altered by software to impersonate a person, or generated in whole or in part by artificial intelligence are ineligible.

4. Selection

HemRid selects Submissions to feature in its sole and absolute discretion, for any reason or no reason. HemRid has no obligation to select any Submission, to explain its decision, or to respond to any Participant. Submitting a video does not guarantee selection, publication, or payment. Selection is effective only when HemRid notifies you in writing by email.

5. Payment

  • Each Selected Participant will receive a one-time payment of $200 (the "Fee") as full and complete compensation for the Submission and all rights granted in these Terms.
  • The Fee will be paid via PayPal, Venmo, or another electronic payment method selected by HemRid within 30 days after HemRid receives (a) your written acceptance of selection and (b) any tax forms HemRid requests.
  • No Fee is payable for any Submission that is not selected.
  • You are solely responsible for all taxes on the Fee. HemRid may request a Form W-9 and will issue tax reporting forms as required by law. If you do not provide requested tax information within 30 days, HemRid may withdraw your selection with no payment owed.
  • The Fee is the only compensation you will receive. You are not entitled to any royalties, residuals, commissions, profit participation, or further payment of any kind, regardless of how, where, or how often HemRid uses your Submission.
  • If HemRid determines that you were ineligible, violated these Terms, or made any false statement, HemRid may withhold the Fee or require you to repay it in full.

6. Grant of Rights

By submitting, you grant HemRid a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, copy, edit, crop, cut, shorten, caption, subtitle, translate, dub, color-correct, combine with other material, create derivative works from, publish, display, perform, distribute, advertise, and otherwise exploit your Submission and Likeness, in whole or in part, in any and all media now known or later developed, including websites, email, social media, paid advertising, television, streaming, print, packaging, retail, and marketplaces, for any lawful purpose, without further notice, approval, or compensation.

This license applies to every Submission from the moment it is sent, whether or not it is selected. HemRid is not obligated to use any Submission.

You agree that HemRid may edit your Submission for length, clarity, and compliance, and may pair it with music, graphics, text, product images, and voiceover. You waive any right to inspect or approve any edited version, advertisement, or use.

7. Waiver of Moral Rights and Publicity Release

To the fullest extent permitted by law, you waive, and agree not to assert against HemRid or its licensees, any moral rights, rights of attribution or integrity, and rights of privacy or publicity in connection with any use of your Submission or Likeness permitted by these Terms.

8. Paid Testimonial Disclosure

You understand that HemRid will identify featured Submissions as paid testimonials, as required by the Federal Trade Commission's Endorsement Guides. If you share, post, or discuss your featured Submission or your participation in the Program anywhere, you agree to clearly disclose that HemRid paid you. Nothing in these Terms restricts your right to post your own opinions or reviews of HemRid products anywhere.

9. Your Representations and Warranties

You represent and warrant that:

  • you meet all eligibility requirements;
  • every statement in your Submission reflects your own actual experience and honest opinion;
  • you are the sole creator and owner of your Submission and have full right and authority to grant the rights in these Terms;
  • your Submission does not infringe, violate, or misappropriate any copyright, trademark, privacy, publicity, or other right of any person; and
  • you are not bound by any agreement that conflicts with these Terms, including any exclusive endorsement agreement with a competing product.

10. Health Information and Consent

Your Submission may reveal information about your health. By submitting, you knowingly and voluntarily consent to HemRid collecting, storing, editing, and publicly displaying that information as part of your Submission for the purposes described in these Terms. You understand that once published, your Submission may be viewed, copied, or shared by others, and HemRid cannot control or retract third-party copies.

HemRid will not use your Submission to create or collect biometric identifiers or biometric information, such as face geometry or voiceprints.

11. No Medical Advice

HemRid dietary supplements have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. HemRid over-the-counter topical drugs (HemRid Lidocaine Cream and Medicated Wipes) should be used only as directed by each product's Drug Facts label. Participation in the Program is not medical advice, and nothing HemRid provides through the Program should be relied on as such.

12. Release

To the fullest extent permitted by law, you release, discharge, and hold harmless HemRid and its officers, directors, employees, agents, advertising agencies, licensees, and assigns (the "Released Parties") from any and all claims, demands, damages, liabilities, and causes of action of any kind, known or unknown, arising out of or related to (a) your participation in the Program, (b) the creation, editing, or use of your Submission or Likeness as permitted by these Terms, including claims for invasion of privacy, right of publicity, defamation, false light, infringement, or emotional distress, and (c) any selection or non-selection decision.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your breach of these Terms or of any representation or warranty, (b) your Submission, or (c) any claim by a third party that your Submission infringes or violates its rights.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM. HEMRID'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE TERMS WILL NOT EXCEED THE FEE ACTUALLY PAID TO YOU, OR $200 IF NO FEE WAS PAID. HemRid is not responsible for lost, late, incomplete, or corrupted Submissions, or for technical failures of any kind.

15. Dispute Resolution, Arbitration, and Class Action Waiver

Informal resolution. Before filing any claim, you agree to contact HemRid at support@hemrid.com with a written description of the dispute and to try in good faith to resolve it for at least 60 days.

Binding arbitration. Any dispute that is not resolved informally will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction. Either party may bring an individual claim in small claims court instead, if it qualifies.

Class action waiver. You and HemRid agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. YOU AND HEMRID EACH WAIVE THE RIGHT TO A JURY TRIAL.

No injunction against use. You agree that your remedy for any claim is limited to money damages, if any, and you waive any right to seek an injunction or other equitable relief to stop, restrict, or remove the distribution or use of any advertising or material containing your Submission or Likeness.

Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred.

16. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, and by the Federal Arbitration Act. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

17. Independent Relationship

Nothing in these Terms creates any employment, agency, partnership, or joint venture relationship between you and HemRid. You are not authorized to make any statement or commitment on HemRid's behalf.

18. Program Changes

HemRid may modify, suspend, or end the Program, or amend these Terms, at any time without notice. The version in effect when you make your Submission governs that Submission. If HemRid ends the Program, Fees for Submissions already selected in writing will still be paid.

19. Privacy

Information you provide is used to administer the Program, verify eligibility, pay Selected Participants, and as described in these Terms and in HemRid's Privacy Policy at hemrid.com/pages/privacy. Where these Terms and the Privacy Policy conflict regarding your Submission, these Terms control.

20. General

  • Entire agreement. These Terms are the entire agreement between you and HemRid regarding the Program and supersede all prior communications.
  • Assignment. HemRid may assign or transfer these Terms and any rights granted, in whole or in part, without your consent, including in a sale of the business or brand. You may not assign these Terms.
  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions stay in full effect.
  • No waiver. HemRid's failure to enforce any provision is not a waiver of its right to do so later.
  • Survival. Sections 5 through 20 survive any termination of the Program or these Terms.
  • Electronic acceptance. Your Submission, and your acceptance of selection by email or electronic signature, constitute your signature and agreement to these Terms.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation."
